Memorandum Of Association
of
The Surgical Instruments
Manufacturers Association of Pakistan
 

i.   The name of the Association is THE SURGICAL Instrument 
     MANUFACTURERS ASSOCIATION OF PAKISTAN

ii.   The Registered Office of the Association will be situated at Kutchery Road,
      Sialkot,  Pakistan.
iii   The Objects for  which the Association is established.

 

1.      To  establish, develop, promote, organize, and protect the art of, Manufacturing  of  Surgical Instruments and Hospital appliances and to encourage its export and import. Further to take all necessary measures for doing so. 

2.      To encourage a friendly relation and unanimity among member firms who are directly connected with the Art of manufacturing Surgical Instruments and Hospital Appliances and its Export and Import and on all subjects involving their common good. 

3.       To consider all questions and to have a keen watch over trade possibilities, development of Surgical Instruments and to expend its Manufacture, Export and Import. Further to remove as far as this Association can of all acknowledged grievances affecting this Industry & Trade by joint representation to the provincial and Central Governments.

4.        To collect and circulate statistics, suggestion and any other information relating to the manufacturing and improving of Surgical Instruments and to maintain its uniformity by framing bye-laws rules and regulations in usage of trade in order to establish just and equitable Principles.

 

5.        To obtain representation on Councils, Advisory Bodies, Municipalities & on Official and Non-Official Bodies, whose objects may be similar with those of this Association when such representation may be advisable in the interest of members of this Association and to encourage, promote or oppose legislature or other measures affecting the Art of Manufacturing of Surgical Instruments in general and the objects of Association in particular.


6.        To co-operate with the policies established by the provincial and Central Govts, in the interest of member of this Association and of Pakistan's Industrial and Commercial developments. And to nominate representatives, delegates and advisors or attorneys to represent this Association at any Govt, public, and Private body or any other Institution in any part of the World in the interest of this Industry for attainment of the objects of the Association.


7.       To organize and participate in Pakistan or Foreign Countries Exhibitions and Fairs on behalf of member of this Association for promoting Pakistan made Surgical Instruments and Hospital Appliances and overseas-trade with the co-operation of Trade High Commissioners of Pakistan in Foreign Countries with the sole object of increasing the sale of Pakistan  made Surgical Instruments.


8.      To encourage  decision of disputes by arbitration and to arbitrate between parties willing to , and abide by, the decision of  the Association or persons constituted or appointed in  that  behalf  by  the Association.  Further to arbitrate  in the settlement  of disputes arising  out of commercial transactions between parties willing, or agreeing to abide by, the judgment and decision of the Association.


9.      To amalgamate and subscribe to become a member of and co-operate with any Federation of Chambers of Commerce & Industry, formed in Pakistan.


10.     To borrow or raise any money required for the purposes of the Association, upon such terms and in such manner, and on such securities as may be determined. To pay all costs, charges and expenses of and incidental charges to the promotion, formation, registration, and establishment of this Association.


11.       To place or deposit with any local Bank for any period, moneys not required for the immediate use of the Association. To purchase or take on lease or in exchange, hire or otherwise acquire any estate or interest in any land, building establishment right, privileges, concessions or immoveable property of any kind and tenure, necessary and convenient for the business of the Association in any part of Pakistan. 

12.       To sell, lease, exchange mortgage or otherwise to make deed for any part of the Association's property or to construct, alter, maintain, building, works and machinery necessary or convenient for the purposes of the Association. To borrow, sell, exchange, lease, mortgage all or any of the moveable or immoveable property, present or future with or without specific charge on all or any part of the Association's property.

13.      To draw, accept, make endorse, discount and negotiate promissory notes, bills of exchange, bills of lading and other negotiable instruments connected with the business of the Association.


14.      The income  and property of the Association whensoever derived, shall be applied solely towards the promotion of  the object of the Association, as set forth in this Memorandum of Association, and no portion by way of dividend, or bonus or otherwise, howsoever, shall be paid by way of profit to the persons who at any time, are or have been members of the Association or to any of them or any person claiming through any of them: provided that nothing herein contained shall prevent the payment in good faith of remuneration to any officer or servant of the Association, or to any member thereof, or other person in return for any services actually rendered to the Association, or the payment of interest on money borrowed from any member of the Association.


15.     Every member of the Association under-take to contribute to the assets of the Association in the event of the same being wound up during the time that he is a member, or within one year afterwards, for payment of the debt and liabilities of the Association contracted before the time at which he ceases to be a member, and of  the costs, charges and expenses of winding up the same, and for the adjustments of the rights of the contributors amongst themselves, such amount as may be required, not exceeding rupees two hundred.


16.     If, upon the winding up or dissolution of the Association, there remains, after the satisfaction of all its debt and liabilities, any property whatsoever, the same shall not be paid to, or distributed among the member of the Association but shall be given or transferred to some other institution or Association having objects similar to the objects of this Association which is to be determined by the members of the Association, at or before the time of dissolution and in default thereof by such judge who may acquire jurisdiction in the matter.


17.    In short to do all that may be necessary for attainment of the above objects or any other objects in the best interest of this Association.

 


      IV.  The liability of the members is limited, but if any member of  the Association pay or receives any dividend, bonus, or other profit in contravention of this memorandum of Association, his liability shall be unlimited.


      V.   We the several persons whose names and addresses are subscribed below, are desirous of being formed into an Association in pursuance of this Memorandum of Association.
